2. What these terms cover

These terms apply to:

• Prestige Sprout-controlled subdomains
• the Prestige Sprout Decision Assistant
• other public Prestige Sprout web tools or pages that link to these terms

A particular product, paid service or customer account may have its own agreement or additional terms.

If separate terms or a signed agreement apply to a product or engagement, those terms take precedence over these general website terms where there is any conflict.

3. Using the website

You may use the website for lawful purposes and to learn about Prestige Sprout, our products, services and published resources.

You must not:

• attempt to gain unauthorised access to our systems
• interfere with the operation or security of the website
• introduce malware or harmful code
• use automated methods to overload, scrape or disrupt the service
• use the site for unlawful, fraudulent or abusive purposes
• attempt to circumvent technical protections

5. The Decision Assistant

The Decision Assistant is a preliminary commercial decision tool.

It considers the information you provide and returns a commercial signal, issues worth examining and a suggested next step.

Its output depends on the quality and completeness of the information supplied.

The Decision Assistant:

• does not know facts you have not provided
• may identify uncertainty rather than force a conclusion
• does not replace the fuller Deal Desk analysis
• does not provide legal or financial advice
• does not guarantee the outcome of an opportunity, bid, negotiation or other commercial decision

You are responsible for deciding how to use its output and for verifying important information before acting on it.

6. Information you submit

You are responsible for information, documents or other material that you submit through the website or its tools.

You should only provide information that you are entitled to share.

Do not submit:

• unlawful material
• malicious software or code
• information that infringes another person's intellectual property rights
• confidential information that you do not have authority to disclose
• unnecessary sensitive personal information

Information you submit is handled in accordance with our Privacy Policy and, where applicable, any separate agreement governing the relevant product or service.

7. Products and services

Descriptions of products, services, features, roadmap items, availability, pricing or future plans may change as the company and its products develop.

A roadmap item is not a contractual commitment to release a particular feature by a particular date unless we agree otherwise with you in writing.

Any paid product or service will be governed by the terms agreed for that purchase or engagement.

The relevant agreement takes precedence over general website descriptions.

8. Sprout Desk and bespoke client work

Sprout Desk is the name Prestige Sprout uses for a pattern of bespoke interactive client experiences.

A client implementation is built for that client's own offering, customer journey and brand.

Unless expressly agreed otherwise, information about Sprout Desk on this website does not create a licence to the Prestige Sprout Decision Assistant, Deal Desk methodology or any other Prestige Sprout codebase or intellectual property.

Specific client work is governed by a separate written agreement.

9. Intellectual property

Unless stated otherwise, the website, its design, text, graphics, product concepts, methodologies, interfaces, branding and other original material belong to Prestige Sprout Media Ltd or its licensors.

This includes rights associated with names and marks including Prestige Sprout, Deal Desk, Decision Assistant, Sprout Desk and Think Sharper Club.

You may:

• view the website
• share links to publicly available pages
• quote short extracts where permitted by law and appropriately attributed

You may not, without our permission:

• reproduce substantial parts of the website for commercial purposes
• copy or republish our methodologies
• represent our content as your own
• reverse engineer or systematically extract proprietary product logic
• use our branding in a way that suggests endorsement, partnership or affiliation where none exists

Nothing in these terms transfers ownership of Prestige Sprout intellectual property to you.

10. Guides, templates and downloadable resources

Where Prestige Sprout makes a guide, template or other downloadable resource available, any specific licence or usage notice supplied with that resource applies.

Unless stated otherwise, resources are provided for your own internal business use.

They must not be resold, repackaged or presented as another organisation's proprietary material without written permission.

11. Third-party services and links

Our website may link to third-party websites or depend on services provided by other organisations.

We are not responsible for the content, availability or practices of websites we do not control.

A link does not necessarily mean that Prestige Sprout endorses the third party.

12. Availability

We may change, suspend, withdraw or restrict parts of the website or a free public tool.

We take reasonable care to keep our services operating, but we make no guarantees that the website or any public tool will always be available, uninterrupted or error-free.

Free public tools may be changed or withdrawn without creating an obligation to continue providing them.

13. Liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence where the law does not permit exclusion.

Subject to that:

• the website and free public tools are provided on an “as is” and “as available” basis;
• we do not accept responsibility for decisions made solely in reliance on general website content or preliminary tool outputs where appropriate independent or professional review was reasonably required;
• and, to the fullest extent permitted by law, Prestige Sprout Media Ltd will not be liable for indirect or consequential loss arising solely from the use of, inability to use, or reliance on the website or a free public tool.

Liability relating to paid products or client engagements is governed by the agreement for that product or engagement.

14. Privacy

Our handling of personal information is explained in our Privacy Policy.

By submitting information through the website or Decision Assistant, you acknowledge that it will be processed as described there.

15. Changes to these terms

We may update these terms when our website, tools or legal requirements change.

The latest version will be published here with the updated date.

Changes do not retrospectively alter a separate contract already entered into with a customer unless that contract allows for it.

16. Governing law

These terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction over disputes relating to these terms, except where applicable law gives an individual consumer the right to bring proceedings elsewhere.

If any part of these terms is found to be invalid or unenforceable, the remaining provisions continue to apply.
